These terms are an agreement between the Shopify merchant installing Kinetic Store Locator (“you”) and Kinetic Workflows (“we”, “us” or “our”). By installing or using the app, you agree to these terms. If you use the app for an organisation, you confirm that you are authorised to bind it.
1. The service
Kinetic Store Locator lets merchants manage and publish location information, maps, search, filters, dealer submissions and related analytics. Features and limits depend on the selected plan. We may improve or change the service provided that we do not materially remove paid core functionality without reasonable notice.
2. Shopify account and access
You need an active Shopify store and must grant the permissions shown during installation. You are responsible for authorised access to your Shopify admin and for keeping your account secure. Shopify’s own terms also apply to your Shopify account, billing and platform use.
3. Plans, billing and cancellation
- A free plan may be available with stated feature and location limits.
- Paid plans are charged every 30 days through Shopify at the price accepted in Shopify.
- Plan changes and cancellations are managed through the app or Shopify.
- Uninstalling the app ends future app charges, subject to Shopify’s billing cycle and rules.
- Except where required by law, fees already charged are not refundable for partial billing periods.
4. Your content and responsibilities
You retain ownership of the location, dealer, product and other content you provide. You grant us a limited licence to host, process and display that content only as needed to provide and support the service.
You are responsible for:
- the accuracy, legality and rights to use content you provide;
- your storefront notices, consents and handling of dealer submissions;
- complying with privacy, consumer, marketing and other applicable laws; and
- reviewing content before it is published to your storefront.
5. Acceptable use
You must not misuse the app, interfere with its security or operation, attempt unauthorised access, introduce malicious code, upload credentials or unlawful content, infringe another person’s rights, or use the service in a way that harms us, Shopify, another merchant or a visitor. We may restrict abusive use where reasonably necessary to protect the service or others.
6. Third-party services
The app depends on services provided by Shopify, Google Cloud, OpenStreetMap/Nominatim and other infrastructure providers. Their terms and availability may affect parts of the service. We are not responsible for a third party’s independent service, content or acts.
7. Availability and support
We aim to provide a reliable service but do not promise uninterrupted or error-free availability. Maintenance, security work, internet failures or third-party outages may interrupt the service. Support is available through the contact details on our support page.
8. Intellectual property
We and our licensors retain rights in the app, its software, design, branding and documentation. These terms give you a limited, non-exclusive, non-transferable right to use the app with your Shopify store while your subscription is active.
9. Suspension and termination
You may stop using the service by uninstalling the app. We may suspend or terminate access for material breach, unlawful or harmful use, non-payment, or where necessary to protect security. Where practical, we will give notice and an opportunity to remedy the issue.
10. Disclaimers and liability
To the extent permitted by law, the service is provided “as is” and we exclude implied warranties that may lawfully be excluded. We are not liable for indirect, special or consequential loss, lost profit, lost revenue or lost data arising from use of the service.
To the extent permitted by law, our aggregate liability arising from the service is limited to the fees you paid for the app in the three months before the event giving rise to the claim. Nothing in these terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law.
11. Changes to these terms
We may update these terms to reflect changes to the service or law. We will publish the updated terms here and revise the date above. We will give additional notice of material changes where required.
12. Governing law
These terms are governed by the laws of Western Australia, Australia. The parties submit to the courts with jurisdiction there, without limiting any mandatory rights available under applicable law.
